Yesterday I noticed several readers had come to SF from the site StartupCompanyLawyer.com. They were all reading my post Wilson Sonsini Term Sheet Generator. I clicked through to StartupCompanyLawyer.com to see what the site was about. I fully expected to find another poor legal site by another hack lawyer.
Much to my surprise, SCL is written by Yokum Taku, a Partner at Wilson Sonsini, Silicon Valley's premier law firm and arguably the best venture capital law firm in the world. Suffice it to say, the content on SCL is first class and the discussions of financing topics are a must read for anybody doing early stage financing.
When I was a young pup in my first job at Chase Manhattan I worked with Chase's law firm, Milbank Tweed. Because of one particularly complex financing, early on I had the opportunity to work with the Milbank Partner who many said "ran the bank".(When the Iranians seized the U.S. embassy in Tehran, the U.S. government called this lawyer to draft a new law to freeze all Iranian bank deposits in U.S. banks.) Working with this lawyer taught me a lot about the law and how to draft legal agreements. Most importantly it gave me a real appreciation for how invaluable good lawyers are. Read Mr. Taku's blog.
